Terms of Service
The rules for using Odysser, including accounts, uploaded content, AI outputs, payments, acceptable use, and liability.
Agreement
These Terms of Service (“Terms”) govern your access to and use of Odysser (“Odysser,” “we,” “us,” or “our”), including our website, app, AI video editing tools, and related services (together, the “Service”).
By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.
If you do not agree to these Terms, you may not use the Service.
Eligibility
You must be at least 13 years old, or the minimum age required in your jurisdiction, to use the Service. You may use the Service only if you can form a binding contract and are not barred from using it under applicable law.
The Service
Odysser is an AI-powered video editing platform that lets users upload, import, generate, edit, preview, and export video content. Features may include transcription, captions, b-roll, motion graphics, chat-based editing, project storage, rendering, exports, and integrations with third-party services.
We may add, remove, modify, suspend, or discontinue features at any time. We may also impose limits on usage, storage, exports, file size, processing, or access to protect reliability, safety, and performance.
Accounts
You may need an account to use parts of the Service. You are responsible for keeping your account credentials secure and for all activity under your account.
You must provide accurate account information and keep it updated. You may not share accounts, impersonate others, or access another user’s account without permission.
User Content
“User Content” means videos, audio, images, files, transcripts, captions, prompts, chat commands, project data, exports, and other content you upload, import, create, submit, or process through the Service.
You retain ownership of your User Content. We do not claim ownership over it.
You grant Odysser a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transcode, analyze, display, modify, create derivative works from, and otherwise use User Content only as needed to provide, secure, support, and improve the Service. This includes AI-powered editing, transcription, generation, previews, exports, recovery, debugging, and abuse prevention.
You represent that you have all rights, permissions, and consents needed to upload and process User Content, including rights in any people, music, footage, trademarks, copyrighted works, personal data, or third-party materials included in it.
AI Outputs
The Service may generate captions, edits, b-roll suggestions, motion graphics, text, visuals, metadata, or other outputs using AI systems (“Outputs”). Outputs may be imperfect, inaccurate, incomplete, or similar to outputs generated for other users.
You are responsible for reviewing Outputs before publishing, sharing, or relying on them. Odysser does not guarantee that Outputs are error-free, non-infringing, platform-compliant, or suitable for any particular purpose.
Acceptable Use
You agree not to use the Service to:
- Violate laws, regulations, sanctions, export controls, or third-party rights.
- Upload or create illegal, abusive, exploitative, deceptive, infringing, hateful, harassing, or harmful content.
- Upload content you do not have the right to use, including copyrighted music, footage, likenesses, or confidential materials.
- Generate or distribute malware, scams, deceptive impersonation, non-consensual intimate content, or content that facilitates harm.
- Reverse engineer, scrape, overload, disrupt, bypass, or interfere with the Service or its security controls.
- Use the Service to build, train, or improve a competing product or model without our written permission.
- Misuse APIs, automation, storage, rendering, or compute resources.
Third-Party Services
The Service may integrate with third-party services, including authentication, cloud storage, payment, analytics, monitoring, AI, and import/export providers.
When you connect a third-party service, you authorize us to access and process information from that service only as needed to perform the action you requested. Your use of third-party services is governed by their own terms and policies.
Odysser is not responsible for third-party services, content, availability, security, or practices.
Payments and Subscriptions
Paid plans, credits, or add-ons may be billed in advance or as otherwise shown at checkout. You authorize Odysser and our payment provider to charge applicable fees, taxes, renewals, and overages using your selected payment method.
Subscriptions renew automatically unless canceled before the renewal date. Fees are non-refundable except where required by law or expressly stated by us. If payment fails, we may suspend, limit, or terminate access.
We may change prices, plan features, limits, or billing terms with reasonable notice. Changes will apply as described in the notice or at the next renewal unless otherwise required by law.
Intellectual Property
Odysser and its licensors own all rights in the Service, including software, design, workflows, interfaces, models, systems, documentation, branding, and platform technology, except for User Content.
You may not copy, modify, resell, sublicense, exploit, or create derivative works from the Service except as expressly allowed by these Terms or with our written permission.
Privacy
Our Privacy Policy explains how we collect, use, and protect information. By using the Service, you acknowledge our Privacy Policy.
Service Availability
We aim to keep Odysser reliable, but we do not guarantee uninterrupted, secure, or error-free operation. The Service may be unavailable because of maintenance, updates, failures, attacks, third-party outages, or events outside our control.
You are responsible for maintaining your own backups of important source files and exports.
Suspension and Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, create risk for Odysser or others, fail to pay, or if required by law.
After termination, your right to use the Service ends immediately. Certain provisions will survive termination, including ownership, payment obligations, disclaimers, limits of liability, indemnity, and dispute provisions.
Disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Odysser disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.
We do not guarantee specific editing results, performance, revenue, engagement, platform acceptance, or legal compliance of your content or Outputs.
Limitation of Liability
To the maximum extent permitted by law, Odysser and its affiliates, officers, employees, contractors, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, content, business, or opportunities.
To the maximum extent permitted by law, our total liability for all claims relating to the Service or these Terms will not exceed the greater of (a) the amount you paid Odysser for the Service in the 12 months before the event giving rise to liability, or (b) $100.
Indemnification
You will defend, indemnify, and hold harmless Odysser and its affiliates, officers, employees, contractors, and partners from claims, damages, losses, liabilities, costs, and expenses arising from your use of the Service, User Content, Outputs you publish or share, violation of these Terms, violation of law, or infringement of third-party rights.
Governing Law
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law rules, except where applicable consumer protection laws require otherwise.
Courts located in Delaware will have exclusive jurisdiction for disputes that are not required to be brought elsewhere by applicable law.
Changes
We may update these Terms from time to time. If changes are material, we will provide notice by updating the “Last updated” date and may notify you through the Service or other reasonable means. Continued use of the Service after changes become effective means you accept the updated Terms.
